TERMS AND CONDITIONS OF SALE

All sales by Sojouner Farms LLC. (in this document is referred to as “Sojos”) are subject to the following terms and conditions.

PAYMENT:

All sales will be cash in advance until credit is approved. For accounts with approved credit terms, invoicing is price less 1 % if paid within 10 days of the date of invoice, net 14 days. Interest of 1.5% per month will be charged on all overdue accounts.

FREIGHT CHARGES:

Sojos will ship freight prepaid on total orders of 1000#. For all other orders less the 1000#, shipping charges will be added to the order. For all export orders, shipping is FOB Sojos (Minneapolis, MN) regardless of volume.

CLAIMS:

All orders are carefully packed. All orders are shipped FOB Sojos (Minneapolis, MN) site, and when a receipt for shipment of merchandise has been signed with the carrier,

the merchandise becomes entrusted to, and the responsibility of the Buyer. The receiving party must clearly note all damage on the Bill of Lading and must notify Sojos of any damage within 48 hours. Original boxes and packing material must be kept until the claim is fully resolved.

CLAIMS - SHORTAGES:

All claims for shortages must be made in writing to Sojos within 48 hours after receipt of goods. The signed Bill of Lading and the Packing List must be returned with the claim. If claim is made by telephone, the signed Bill of Lading and the Packing List must be faxed or emailed to validate the claim.

RETURNED MERCHANDISE, LIMITATION OF REMEDIES:

No claim of any kind may be made with respect to products sold or delivered by Sojos in an amount greater than the purchase price of the product with respect to which damages are claimed. The remedy, hereby provided shall be the exclusive and sole remedy of buyer and in no event shall either party be liable for special, indirect, incidental or consequential damages whether or not caused by or resulted from negligence of such party. Buyer waives all other claims and remedies.

MERCHANDISE RETURNS and CREDITS:

Sojos is a manufacture of cat and dog foods as well as treats on demand guaranteeing the maximum shelf life. It will be the responsibility of the distributor and retailer to rotate products to assure the consumer is receiving freshest product possible.

All credits, allowances, return, etc must be submitted within 30 days of receipt. All credits submitted after 30 days will not be accepted.

Products must have been purchased from an authorized Sojos distributor to receive credit and all returns are subject prior approval by an authorized Sojos representative.

Product maybe disposed after credit has been accepted. Sojos reserves the right to ask that the product or products be returned to Sojos corporate office upon requested. If the product is required to be returned to Sojos, Sojos will supply shipping information and cover the cost of the return.

No merchandise may be returned without authorization which may come in the form of an email issued by an authorized representative of Sojos.

For non-warranty returns, a 15% re-stocking charge will be deducted from the net price of the return item.

SOLE AGREEMENT:

These Terms and Conditions of Sale supersede and cancel all previous offers, understandings and agreements between Sojos and Buyer, and constitute

a complete and final understanding of Sojos and Buyer. These Terms and Conditions of Sale may not be changed except if put in writing and signed by both Sojos and Buyer.
